Signing is not starting, and the missing paperwork is not always Venezuelan. GeoPark tells the U.S. securities regulator that the effective date of its Bare contract waits on authorizations that depend on the sanctions regime, up to 120 days, pushing the start into January; meanwhile it funds 100% of the capital for 65% of the block. Of Washington's 35% in NABEP there are three official descriptions that do not match and no document to settle them. And Paula Henao promises continuity to joint ventures the PDVSA license excludes by the partner's country. What is verifiable today is corporate governance and the calendar; ownership and eligibility hang on papers nobody has published.
Against this number the commitments signed in the past two weeks are being assessed, and nothing happening in Venezuela moves it. The benchmark rose close to 10% in a week on supply risk in the Strait of Hormuz, and against it Merey trades at the usual eight-to-fourteen-dollar discount band, between 83 and 89. A project that clears here does not clear the same fifteen dollars lower, and that difference depends not on the reservoir but on an unrelated tension. Hence the weight of which Hormuz assumption the U.S. energy agency's short-term outlook, out tomorrow, uses.
The White House wrote a 35% equity stake; the operator, rights to a stake; the Department of War, that the office does not take equity.
NABEP granted the Department of War's Office of Strategic Capital a 35% equity stake in its corporate parent, at no cost to the taxpayer, with veto power over any board appointment and a U.S.-citizen majority on that board: so the White House wrote in its August 31 fact sheet. The operator's own release speaks of rights to a stake. Two days before that fact sheet, the department's spokesman had said the office does not take equity stakes in private companies and that its authority is limited to loans, guarantees or technical assistance.

The financial press describes the instrument as warrants exercisable at a token price with anti-dilution protection, attributed to unnamed sources; the official fact sheet does not use that word and the document appears in no public register. What is verifiable today is corporate governance, not economics.
Whoever negotiates with NABEP today: it deals with an operator whose corporate control is documented, with no U.S. shareholder of record across the table.
Whoever must value or audit the operator: with no instrument in view, neither the accounting treatment of that third nor its behavior in a capital increase can be set.

In its September 3 filing to the securities commission, GeoPark says the Bare contract's effective date depends on approvals and on sanctions-linked requirements.
GeoPark filed a Form 6-K with the U.S. securities commission on September 3 regarding its entry into the Bare block. It states a 65% net working interest under a 25-year production participation contract with PDVSA, current gross output near 11,000 barrels a day and a plateau of 55,000 to 62,000 net barrels sustained for more than a decade. And it warns that the contract's effective date remains subject to approvals, authorizations, regulatory requirements and sanctions-related compliance, with an estimated maximum period of 120 days.

One hundred twenty days from September 3 reach early January. The condition is not Venezuelan: it is sanctions-related compliance requirements, the same piece the general licenses leave to a separate permit. Inside the contract the operator funds 100% of the capital of approved work programs and retains 65%.
Grupo Gilinski, which hands over its 95% in the contract vehicle for 42.1 million shares at US$12.22 and ends with about 56.3% of the operator.
Whoever modeled new Venezuelan output for this year: the start of this batch's first contract falls, by the company's own statement, in the next calendar.

The hydrocarbons minister said on Sunday that the joint ventures with China and Russia will keep carrying out their activities. License 52B excludes those companies by the partner's country.
Paula Henao, hydrocarbons minister, answered on Sunday September 6 on Venevisión whether China and Russia were left out of the oil business after the deal with the United States: they are joint ventures with authorization for primary activities in force and they will keep carrying out their activities. The White House fact sheet holds that most of those fields were previously controlled or operated by Russian and Chinese companies. On September 1 China's foreign ministry spokesman asked that his country's legitimate rights and interests in Venezuela be safeguarded.

A U.S. buyer or supplier relying on that license needs to know each venture's partner before signing, and that map is not published.
The joint venture with no partner from those five countries: it stands as the counterparty a U.S. buyer can take without seeking an extra permit.
The joint venture with a Chinese or Russian partner, which keeps its Venezuelan authorization and loses access to the counterparty that today sets price and destination.

The fact sheet says equity stake, the operator's release says rights to a stake, and the description as token-price warrants circulated on September 4 attributed to an unnamed official. It is half an answer, and the missing half is the one that decides the economics.
